Review: This book is a great handbook for both M&A professionals and MBA Students. It covers all aspects of M&A with an international perspective in an easy-to-read manner. It is not focused on a single market, but on cross-border transactions, which are becoming more and more important.

As a M&A Expert, Mr. Picot knows what he is talking about. He is also a professor teaching in Graduate Programms at the Institute for Mergers and Acquisitions of the Private University of Witten/Herdecke, Germany's first institution covering the topic. So he is able to combine academic and practical aspects of M&A in a very useful and refreshing manner.

The first part about the planning phase focuses on Commercial and Legal Aspects to be Considered in Structuring International Mergers and Acquisitions, Mergers and Acquisitions from a Capital Market Perspective and Taxwise Structuring of the Transaction.

The second part is about M&A execution, covering the commercial aspects involved in Executing Mergers and Acquisitions, with Particular Emphasis on the Transaction Agreement, Due Diligence and Valuation, Corporate Evaluation and Merger Control.

After that, one of the most important aspects of M&A is shown in detail - the integration of the targets. Post-merger Management, Legal Parameters of the Integration and Implementation Measures, Personal and Cultural Integration and Internal and External Communication are the contents of this part. Unfortunately, you don't find this in many books.

The book is very recommendable to both MBA students interested in the M&A business and investmentbankers or consultants searching for a refresher on the topic.
